Terms of Service

These Terms of Service ("Terms") govern your access to and use of verkvibe.com and the services offered by Verk Vibe ("Verk Vibe," "we," "our," or "us"), including the Operating Library publications, consulting services, articles, and any related content (collectively, the "Services"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Who We Are

Verk Vibe provides fractional HR consulting, workplace investigations, executive HR support, Ai operating-systems advisory, and publishes the Verk Vibe Operating Library, a series of operating manuals for leaders. We are not a law firm and do not provide legal advice. We are not an accredited training provider and the publications are educational materials, not certifications.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements and that you are using the Services for lawful business purposes.

3. Accounts

Some features may require you to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at Hello@verkvibe.com if you suspect unauthorized use.

4. Purchases and Payment

Purchases of publications and bundles are processed by Stripe. By purchasing, you authorize the charge to your selected payment method and agree to Stripe's terms in addition to ours. All prices are in US dollars unless stated otherwise. Taxes, where applicable, may be added at checkout.

Refunds. Because the publications are digital goods delivered immediately upon purchase, all sales are final unless required otherwise by law. If you believe a purchase was made in error or you did not receive the publication you paid for, contact us within 7 days at Hello@verkvibe.comand we will work to resolve the issue in good faith.

5. License to the Operating Library

Each publication you purchase is licensed, not sold, to you. Subject to your compliance with these Terms, Verk Vibe grants you a non-exclusive, non-transferable, revocable license to use the frameworks, scripts, templates, and operating models contained in the publication within your own organization for internal operational purposes.

This license does not permit:

  • Reproduction or distribution of the publications for resale or external distribution.
  • Repackaging the content into competing publications, courses, or commercial materials.
  • Use of the content to train, fine-tune, or otherwise improve generative AI or machine-learning models, including via embedding, retrieval-augmented generation, or other ingestion, without our express written authorization.
  • Removal of copyright notices, attribution, or watermarks.
  • Sharing your purchased copies publicly or with parties outside your organization.

Internal modification of templates for your organization's operational use is permitted. Derivative works for external publication or commercialization are not permitted without written authorization.

6. Consulting Services

Consulting engagements, including investigations, executive HR support, and Ai operating advisory, are governed by a separate written agreement (statement of work or engagement letter) signed by both parties. These Terms apply to your use of the website and informational interactions; the engagement-specific agreement controls the consulting relationship.

7. Acceptable Use

You agree not to:

  • Use the Services in any unlawful manner or in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to any portion of the Services, accounts, or systems.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Use any robot, scraper, or other automated means to access the Services for non-permitted purposes.
  • Misrepresent your affiliation with any person or entity, or use the Services in a way that could harm Verk Vibe or its clients.

8. Intellectual Property

The Services and all content, including the Operating Library, the Verk Vibe name, the "V" brandmark, wordmark, frameworks, templates, articles, and copy, are owned by Verk Vibe or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. Except for the limited license granted in Section 5, no rights are granted by these Terms by implication, estoppel, or otherwise.

9. User Communications

Any feedback, suggestions, or ideas you submit are non-confidential and may be used by Verk Vibe without restriction or compensation. Do not send confidential information or sensitive personal information through unsecured channels (such as a contact form); engagements requiring confidentiality are covered by a separate executed agreement.

10. Third-Party Services

The Services rely on third-party providers (including Stripe for payments, TidyCal for scheduling, and our hosting and authentication providers). Your use of those services is subject to their respective terms and privacy policies. We are not responsible for third-party services or content.

11. Disclaimers

NO LEGAL OR PROFESSIONAL ADVICE. The publications and the website are educational and operational resources. They are not legal, tax, accounting, or medical advice. Engage qualified professionals for advice specific to your situation.

"AS IS." THE SERVICES AND PUBLICATIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. We do not warrant that the Services will be uninterrupted, error-free, or that any defects will be corrected.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VERK VIBE AND ITS PRINCIPALS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR PUBLICATIONS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR PUBLICATIONS WILL NOT EXCEED THE AMOUNTS YOU PAID TO VERK VIBE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER. Some jurisdictions do not allow these limitations; in those jurisdictions our liability is limited to the greatest extent permitted by law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Verk Vibe and its principals from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, your violation of these Terms, or your violation of any law or third-party rights.

14. Termination

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Provisions that by their nature should survive termination will survive, including license restrictions, disclaimers, limitations of liability, indemnification, and dispute-resolution terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. The exclusive jurisdiction and venue for any dispute not subject to arbitration is the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction there.

Informal resolution first. Before filing a claim, contact us at Hello@verkvibe.com and try to resolve the dispute informally for 30 days.

16. Changes to These Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date. Material changes will be highlighted. Continued use of the Services after changes take effect constitutes acceptance.
